Terms & Conditions

These Terms & Conditions govern the use of ObsidianXi services, including websites, e-commerce, ERP systems, accounting systems, AI automation, cybersecurity, DevOps, cloud infrastructure, consulting, support and digital solutions.

By engaging ObsidianXi for services, requesting quotations, making payments or using our website, you agree to these Terms & Conditions.

1. Services

ObsidianXi provides technology and digital transformation services including, but not limited to:

  • Web design and development
  • E-commerce solutions and online payment integration
  • ERP and accounting system implementation
  • AI and workflow automation
  • Cybersecurity advisory and security reviews
  • Cloud infrastructure, hosting, DevOps and deployment support
  • Technology consultancy, training and ongoing support

2. Quotations & Pricing

  • All quotations are valid for 30 days unless otherwise stated in writing.
  • Pricing may change before project commencement if scope, requirements or third-party costs change.
  • Custom projects require detailed scoping before final pricing is confirmed.
  • Additional requirements outside the approved scope may incur additional charges.
  • Published starting prices are for basic scope and may not include advanced customisation, integrations or content preparation.

3. Payment Terms

  • Projects may require a deposit before work begins.
  • Milestone payments may apply for larger projects.
  • Final deliverables, access credentials or deployment may be withheld until outstanding balances are settled.
  • Recurring services, hosting, retainers or support plans must be paid according to agreed billing cycles.
  • Late payments may delay project delivery, support response or service continuation.

4. Client Responsibilities

  • Provide accurate information, requirements and approvals on time.
  • Provide content, images, product details, business documents and access credentials when required.
  • Review deliverables within reasonable timeframes.
  • Maintain legal rights to all content, media, logos, data and materials supplied.
  • Keep passwords and access credentials secure.
  • Notify ObsidianXi promptly of errors, issues, risks or changes in requirements.

5. Project Scope & Changes

Projects are delivered according to the approved proposal, scope, quotation or written agreement.

  • Requests outside the agreed scope may require a new quotation.
  • Timelines may change if requirements are changed or approvals are delayed.
  • Complex integrations, migrations and custom features may require additional testing and support.
  • ObsidianXi may recommend scope adjustments where necessary to improve delivery quality.

6. Intellectual Property

Unless otherwise agreed in writing:

  • Clients own final project deliverables after full payment has been received.
  • ObsidianXi retains ownership of proprietary tools, frameworks, reusable components, templates, internal methods and pre-existing intellectual property.
  • Third-party software, plugins, platforms and libraries remain subject to their own licence terms.
  • ObsidianXi may showcase completed projects in its portfolio unless a confidentiality agreement prevents this.

7. Hosting & Infrastructure

  • Third-party hosting providers remain responsible for infrastructure availability where applicable.
  • Service interruptions outside ObsidianXi’s control may occur.
  • Clients are encouraged to maintain backup and recovery procedures.
  • Hosting offers may be subject to fair usage, storage, traffic and provider limitations.
  • Heavy applications, ERP systems, e-commerce stores or high-traffic platforms may require separate infrastructure pricing.

8. Cybersecurity

While ObsidianXi follows reasonable security practices and may provide security recommendations, no digital environment can be guaranteed completely secure.

  • Clients remain responsible for password safety, user access and internal security habits.
  • Security recommendations should be implemented promptly.
  • ObsidianXi cannot guarantee prevention of all cyber incidents, malware, unauthorised access, downtime or data loss.
  • Security services are advisory or implementation support unless a separate managed security agreement exists.

9. ERP, Software & Automation Projects

  • Project timelines depend on client participation, access, data quality and feedback.
  • Data migration quality depends on the accuracy and cleanliness of source data.
  • Business process changes may affect implementation timelines and costs.
  • Additional integrations, reports, workflows, dashboards or customisations may require separate quotations.
  • Users may require training and adoption support for successful implementation.

10. Support & Maintenance

  • Support scope depends on the selected support package or written agreement.
  • Response times vary according to support agreements and issue severity.
  • Emergency support, after-hours work or urgent recovery may attract additional fees.
  • Support does not automatically include new features, redesigns, custom development or third-party service fees unless agreed.

11. Limitation of Liability

To the maximum extent permitted by law, ObsidianXi shall not be liable for:

  • Indirect, incidental or consequential losses.
  • Loss of revenue, profits, data, reputation or business opportunities.
  • Downtime caused by third-party providers, hosting companies, payment gateways, internet service providers or cloud platforms.
  • Data loss caused by third parties, client actions, malware, weak passwords or unsupported modifications.
  • Delays caused by late client feedback, missing content, unavailable access or changing requirements.

12. Termination

  • Either party may terminate services subject to contractual obligations or written agreement.
  • Outstanding fees remain payable upon termination.
  • Work completed up to termination may be invoiced.
  • Access to hosting, systems, code, documents or deliverables may be withheld until balances are settled.
  • Recurring services may be suspended or discontinued if payment is not received.

13. Governing Law

These Terms & Conditions shall be governed by the laws applicable within the jurisdiction where ObsidianXi operates, unless otherwise agreed in writing.
